General Terms and Conditions of Sale (CGV)

1. Purpose

These General Terms and Conditions of Sale (hereinafter 'CGV') define the rights and obligations of Full-Reprog OÜ (hereinafter 'the Seller') and its customers (hereinafter 'the Client') in the context of the online sale of automotive software and related services available on the company's website. Any order placed implies full and unconditional acceptance of these CGV, which prevail over any other contradictory document.

2. Products and Services

• Automotive software intended for diagnostics, reprogramming, and electronic optimization.
• Development services and creation of custom software files.
• The essential characteristics of the products and services are described on the website.
• The Client is responsible for ensuring compatibility and suitability of the products for their needs before making a purchase.

3. Orders

Orders are placed exclusively online through Full-Reprog OÜ's website. Any order validation constitutes express and irrevocable acceptance of these CGV. The Seller reserves the right to refuse an order in the event of a previous dispute with the Client, non-payment, or suspected fraudulent use.

4. Prices and Payment

• Prices are expressed in euros, excluding taxes (HT).
• VAT and any other applicable taxes are added at the time of invoicing.
• Payment is due immediately upon ordering, by credit card or any other means offered on the site.
• No product or service will be delivered until full payment has been received.

5. Delivery and Access

Software is delivered digitally (download or electronic delivery) after payment validation. Delivery time is generally immediate or within 24 hours following order confirmation, except in exceptional cases. Full-Reprog OÜ cannot be held responsible for any delay caused by a technical problem beyond its control (hosting provider, internet provider, etc.).

6. Disclaimer of Warranty and Limitation of Liability

• The software and services provided by Full-Reprog OÜ fall under software development and creation.
• The Client acknowledges that it is their responsibility to assess risks, impacts, and compatibility before any use.
• Full-Reprog OÜ cannot be held liable for any direct or indirect damages resulting from the use of the software, including: mechanical or electronic damage to a vehicle, breakdowns, data loss, malfunctions, material, immaterial, or financial damages, non-compliance with regulations in the country of use.
• The Client assumes full responsibility for the use of purchased products.

7. Right of Withdrawal

In accordance with the applicable provisions for digital products supplied online, the Client expressly waives their right of withdrawal as soon as they access or download the ordered software. No refund may be requested once the service has been provided or the software delivered.

8. Intellectual Property

All software, files, developments, and creations made by Full-Reprog OÜ remain protected by copyright and intellectual property laws. The Client only acquires a personal and non-exclusive right of use. Any unauthorized reproduction, modification, distribution, or resale is strictly prohibited.

9. Confidentiality and Personal Data

The information collected from Clients is strictly necessary for order processing and business relationship management. Full-Reprog OÜ undertakes to respect the confidentiality of personal data in accordance with applicable regulations.

10. Force Majeure

Full-Reprog OÜ cannot be held liable in the event of non-performance or delay due to force majeure as defined by case law (natural disasters, network failures, cyberattacks, etc.).

11. Applicable Law and Jurisdiction

These CGV are governed by Estonian law. Any dispute relating to their interpretation, performance, or validity will fall under the exclusive jurisdiction of the courts of Full-Reprog OÜ's registered office.
